1. Platform Description and Purpose
Resistor ("the Platform", "we", "us", "our") is a self-booking tour marketplace that connects electronic music artists, DJs, bands, promoters, and venue operators. The Platform facilitates the booking process between artists seeking performance opportunities and promoters/venues seeking talent for events.
Resistor acts as an intermediary platform and is not a party to any booking agreement between users. We provide the technology infrastructure, payment processing, and communication tools to facilitate these transactions.
2. User Accounts
2.1 Registration
To use the Platform, you must create an account and provide accurate, complete information. You may register as one of the following roles:
- Artist — DJs, musicians, bands, or performers seeking booking opportunities.
- Promoter — Event organisers who book artists for performances.
- Venue — Clubs, bars, or event spaces that host events and may book artists or be booked by promoters.
2.2 Account Approval
All new accounts are subject to review and approval by Resistor administrators. You may be asked to provide verification links (e.g., social media profiles, portfolio sites) to confirm your identity and legitimacy. Resistor reserves the right to approve or reject any account at its sole discretion.
2.3 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorized use of your account. Resistor is not liable for losses arising from unauthorized access to your account.
3. Booking Process
3.1 Availability Posting
Artists may post availability windows indicating the cities and date ranges during which they are available for bookings. Each availability listing includes a minimum performance fee and optional travel fee.
3.2 Booking Offers
Promoters may browse available artists and submit booking offers specifying the proposed performance fee, travel contribution, and event date. Artists receive notification of all offers.
3.3 Negotiation
Both parties may engage in multi-round negotiation through the Platform's built-in messaging system. Either party may submit counter-offers adjusting fees and travel terms. Either party may accept or decline at any stage.
3.4 Acceptance and Contracts
When both parties agree on terms, a digital contract is generated. Both parties must sign the contract digitally. A signed contract constitutes a binding agreement between the artist and promoter. Resistor is not a party to this contract but facilitates its execution.
4. Payment Terms
4.1 Payment Processing
All payments on the Platform are processed through PayPal. By using Resistor, you agree to comply with PayPal's terms of service in addition to these terms. You must maintain a valid PayPal account to receive payments.
4.2 Escrow-Style Payment Flow
When a booking is confirmed and payment is collected from the promoter, funds are held in an escrow-like arrangement and disbursed according to the following schedule:
- Travel fee — Disbursed to the artist immediately upon payment collection to cover travel arrangements.
- Performance fee (partial) — A portion of the performance fee is disbursed prior to the event date.
- Performance fee (final) — The remaining balance is disbursed after the event has been completed.
4.3 Platform Fees
Resistor may charge a service fee on transactions. The applicable fee percentage will be clearly displayed before payment is confirmed. Fee structures may vary by subscription tier.
4.4 Currency
All fees and payments on the Platform are denominated in the currency specified at the time of the booking. Currency conversion fees, if applicable, are the responsibility of the receiving party and are set by PayPal.
5. Cancellation and Refund Policy
5.1 Cancellation Before Payment
Either party may cancel a booking at any time before payment has been collected without financial penalty. The booking status will be updated to "cancelled".
5.2 Cancellation After Payment
After payment has been collected, cancellation is subject to the following conditions:
- If the artist cancels, the promoter is entitled to a full refund of all collected funds not yet disbursed.
- If the promoter cancels, the artist retains any funds already disbursed (including travel fees), and the remaining held funds may be refunded to the promoter at Resistor's discretion.
5.3 Refund Eligibility
Refund decisions for disputed cancellations are made through the dispute resolution process described in Section 6. Resistor reserves the right to make final refund determinations based on the circumstances of each case.
6. Dispute Resolution
6.1 Filing a Dispute
Either party to a booking may file a dispute through the Platform. Disputes may be filed for reasons including but not limited to: cancellation, no-show, quality issues, or payment disagreements. The filing party must provide a detailed description and may upload supporting evidence.
6.2 Review Process
Disputes are reviewed by Resistor administrators. Both parties will have the opportunity to present their case and provide evidence. Resistor will make reasonable efforts to resolve disputes within 14 business days.
6.3 Resolution Outcomes
Dispute resolutions may include: full refund to the promoter, partial refund, release of held funds to the artist, or no action. Resistor's dispute resolution decisions are final and binding within the scope of the Platform.
7. User Conduct
7.1 Prohibited Behaviour
You agree not to:
- Provide false or misleading information in your profile or during the booking process.
- Use the Platform for any unlawful purpose or in violation of any applicable laws.
- Harass, threaten, or abuse other users.
- Attempt to circumvent the Platform's payment system to avoid fees.
- Create multiple accounts or impersonate another person.
- Interfere with or disrupt the Platform's operation or security.
- Scrape, mine, or extract data from the Platform without authorization.
- Use automated tools (bots, scrapers) to access the Platform.
7.2 Content Guidelines
All content uploaded to the Platform (including profile photos, bio text, and messages) must not contain illegal, offensive, discriminatory, or explicit material. Resistor reserves the right to remove content that violates these guidelines without notice.
8. Intellectual Property
You retain ownership of all content you upload to the Platform. By uploading content, you grant Resistor a non-exclusive, worldwide, royalty-free licence to display and distribute your content within the Platform for the purpose of providing the service (e.g., displaying your profile to promoters).
The Resistor name, logo, and all associated branding are the intellectual property of Resistor and may not be used without prior written consent.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Resistor and its officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, or business opportunities.
- Damages arising from the conduct of other users, including failure to perform booked events.
- Damages resulting from unauthorized access to or alteration of your data.
- Service interruptions, delays, or errors in the Platform.
Resistor's total liability to you for any claim arising from or related to these Terms or the Platform shall not exceed the total fees paid by you to Resistor in the twelve (12) months preceding the claim.
10. Termination
10.1 Voluntary Termination
You may close your account at any time by contacting support. Closing your account does not release you from obligations arising from existing bookings or pending payments.
10.2 Suspension and Termination by Resistor
Resistor may suspend or terminate your account at any time for:
- Violation of these Terms of Service.
- Fraudulent or illegal activity.
- Repeated disputes or complaints from other users.
- Failure to maintain accurate account information.
- Extended inactivity (accounts inactive for more than 24 months may be deactivated).
10.3 Effect of Termination
Upon termination, your access to the Platform will be revoked. Any pending disbursements will be processed according to the payment schedule. Your data will be retained as described in our Privacy Policy.
11. Modifications to Terms
Resistor reserves the right to modify these Terms of Service at any time. We will provide at least 30 days' notice of material changes by email and/or by posting a notice on the Platform. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated terms.
If you do not agree with the modified terms, you must stop using the Platform and close your account before the changes take effect.
12. Governing Law
